ATC AGM ’17 – Changes to our Constitution

As communicated in the email earlier this week, there are changes required to our constitution in order for us to proceed with the formal registration of ATC Multisport as a not for profit voluntary association for public benefit.
 
All the required changes are listed at the bottom of this email.  Items highlighted in green are minor changes or merely the re-arranging of stipulations already in our constitution.
 
Items highlighted in yellow are additions, deletions or significant changes pertaining to remuneration of officers / staff and stipulations required for compliance to Tax Law.  As we go through the process, we may require additional stipulations for compliance.  We therefore propose an Addendum, which the committee will use during this process to amend the constitution for compliance.  During this time, we may call a Special General Meeting to vote on certain amendments.
 
Please review the proposed changes and lodge all comments or objections BEFORE the meeting, either by return email or through the RSVP link provided below.

New Balance at Club TT

Our club time trial will be this coming week on Tuesday morning and Wednesday afternoon.  New Balance and The Run Store will join us on Wednesday afternoon to demonstrate the all-new FuelCore Sonic and Fresh Foam Zante shoes.  You can try out a pair and stand a chance to win a pair and an assessment from the Run Store!

Sanlam Peace Trail for SPCA

The SPCA wishes to encourage animal-lovers to make their Peace Trail race count for more by taking on challenges and raising funds in aid of the Cape of Good Hope SPCA.  Runners will join Team SPCA and are required to raise funds to cover their entry, SPCA branded running tee and a donation to the cause.  For more information, please email: awareness2@spca-ct.co.za

Proposed Changes to our Constitution

 
3. CORE VALUES
 
3.1 SOLE PURPOSE
To promote the growth of Triathlon and Duathlon as sporting disciplines in the community of South Africa while promoting the development of athletes from disadvantaged backgrounds and serving the interest of members.
 
3.2 AIMS & OBJECTIVES
The aims and the objectives of the club will include, but not be limited to:
 
  • to offer coaching and competitive opportunities in Triathlon, Duathlon, the related individual disciplines of swim, bike & run, and such activities as the Management Committee may from time to time deem appropriate.
  • to promote the club structure within the province and South Africa;
  • to promote the growth of the Triathlon and Duathlon, including the individual disciplines making up these sports, in the community;
  • attracting new and beginner athletes to the sport, as well as providing a Club facility for experienced athletes;
  • to ensure a duty of care to all members of the club;
  • to provide all its services in a way that is fair to everyone;
  • to ensure that all present and future members receive fair and equal treatment;
  • to promote the development of athletes from disadvantaged backgrounds.
 
 
3.23 VALUES

8. MANAGEMENT COMMITTEE
The management of the club shall be vested in a Management Committee consisting of a Chair, Vice-Chair, Secretary, Treasurer, Communications Officer and Development Officer and other officers as deemed necessary.  and up to two ordinary members.
 
The Management Committee shall consist of a minimum of 4 members and shall not exceed a maximum of 9 members.
 
Only these posts will have the right to vote at meetings of the Management Committee.
 
All members of the Management Committee shall be elected and their services shall be honorary.  Notwithstanding the above, the Management Committee shall have the power to approve the remuneration of certain members of the Management Committee for services offered. The value of such remuneration will be at the discretion of the Management Committee, providing that such remuneration is financially sustainable for the Club.
 
9. FINANCE
 
Any expenses drawn against club funds must be authorised as follows:
Expenses incurred during the ordinary course of running ATC, must be approved by one of the four officers of the club, authorised in accordance with the Bank mandate.
Substantial, once-off, expenses must be approved by two of the four officers of the club, authorised in accordance with the Bank mandate.  One of these officers will be the Chairman or Treasurer.
 
Any cheques or other instrument drawn against club funds must hold the signatures of any two of the three officers of the club authorised in accordance with the Bank mandate.  One of the three officers will be the Treasurer.
 
21. AFFILIATION
 
ATC will endeavour to formally register with the relevant authority(s) as a not for profit voluntary association for public benefit.  Stipulations required by the Tax Act for this purpose will be recorded in Addendum 2: Registration as Not for Profit Association

REGISTRATION AS NOT FOR PROFIT ASSOCIATION
(The ATC Committee will add to this addendum as required by the Tax Act.  If needed, a SGM will be called to ratify stipulations made here)
